Terms of Service
1. Acceptance of Terms
By accessing or using the CropWire platform (“Platform”), operated by CropWire LLC, a subsidiary of Gold Drop Holdings, Inc., you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
2. Eligibility
The Platform is restricted to individuals who are (a) at least 21 years of age, and (b) authorized representatives of entities holding an active California Department of Cannabis Control (“DCC”) license. You represent and warrant that you meet these requirements.
3. Platform Description
CropWire is a compliance-first wholesale workflow for licensed California cannabis operators. The live Platform currently runs as an approved-member anonymous board and broker-assisted desk, allowing eligible members to submit opportunities, review anonymized supply and demand, and participate in AI-assisted matching and negotiation. Public exchange features, public ticker views, and flash-sale mechanics may be introduced later only if CropWire explicitly enables them and related compliance thresholds are met. Coachella Labs LLC may serve as a preferred settlement or clearing partner for selected deals.
4. License Verification
All users must provide a valid DCC license number during registration. CropWire reserves the right to verify license status against the DCC database at any time. Users with expired, suspended, or revoked licenses will be immediately blocked from the Platform. You agree to promptly update your license information if your status changes.
5. Platform Fees
CropWire may charge platform, desk, or premium-service fees on certain completed deals or assisted workflows. Any applicable fee will be disclosed before you commit to the relevant transaction or service. Unless separately agreed in writing, browsing opportunities or submitting an indication of interest does not by itself create a fee obligation.
6. Order Book and Matching
Listings and indications are shared according to their visibility mode. In the current product, opportunities are generally shown to approved members in anonymized or desk-mediated form, while full counterparty identity remains restricted until the deal workflow, compliance review, or participating parties authorize disclosure. CropWire may broker, prioritize, defer, or decline opportunities based on compliance, liquidity, and operational considerations. Posting an order does not guarantee a match or a completed deal.
7. User Conduct
You agree not to: (a) post fraudulent, misleading, or inaccurate listings; (b) misrepresent your license status; (c) use the Platform for any purpose other than lawful California cannabis commerce; (d) attempt to manipulate market data or pricing; (e) interfere with Platform operations or security; or (f) violate any applicable law, regulation, or DCC rule.
8. Reporting Mechanism (SB 378)
CropWire provides a reporting mechanism for suspected unlicensed, expired-license, or fraudulent activity in compliance with SB 378. Reports are reviewed by the compliance team. CropWire will send a confirmation within 5 business days of receiving a report and will provide an estimated resolution timeline.
9. Data Rights (SB 362)
California users have the right to request deletion of their personal data. Upon receiving a verified deletion request, CropWire will cascade the deletion across all related records, anonymizing personal information while preserving anonymized market data for regulatory compliance. 10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. CROPWIRE DOES NOT GUARANTEE THE ACCURACY OF LICENSE VERIFICATIONS, THE QUALITY OF PRODUCTS LISTED, OR THE COMPLETION OF ANY TRANSACTION. CROPWIRE IS NOT A PARTY TO ANY TRANSACTION BETWEEN USERS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROPWIRE'S TOTAL LIABILITY SHALL NOT EXCEED THE PLATFORM FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. CROPWIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
12. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Riverside County, California.
13. Modifications
CropWire may modify these Terms at any time by posting updated Terms with a new version number. Continued use after modifications constitutes acceptance. Material changes will be communicated via the Platform and email (if consent has been provided).
